  a) 貨品必須符合出口質(zhì)量并具有良好的根組層,

  a)Goods must be of export quality with good rooting system.

  b) 被切斷根的貨品不能接受。b)Goods with cut roots are not accepted.

  c) 貨品必須無(wú)病害,無(wú)雜草,無(wú)草籽。

  c)Goods must be free of diseases, weeds or seeds of weeds.

  d) 貨品必須無(wú)沙粒,無(wú)土壤。d)Goods must be free of sand and soil.

  e) 未經(jīng)買(mǎi)方允許不能對(duì)貨品進(jìn)行任何形式的消毒處理。

  e)Any kind of disinfection of any Goods will not be allowed prior to approval from the buyer.

A maximum of 2% discrepancy is allowed. After arrival at destination, the official agent of R.G.A. B. ( Royal General Association for Bulbs Traders) which is the official institute for bulbs inspections will take samples from each stock. The samples will be sealed and planted in the official test garden of the R.G.A.B. After flowering, the R.G.A.B. will send an official report to the Buyer. If such report conclude more than 2% discrepancy in the varieties, colours and/or sizes, the Buyer reserves the right to claim the total costs on which discrepancy arises, including the freight and all other costs to Holland.

  g) All varieties to be delivered must belong to the family of Lactiflora Paeonies.

  6. 包裝:貨品必須儲(chǔ)存于一個(gè)塑料袋中,然后裝在單個(gè)的塑料周轉(zhuǎn)箱中。塑料周轉(zhuǎn)箱規(guī)格為40x60x23cm或買(mǎi)方認(rèn)可的其他規(guī)格。為了保證質(zhì)量,塑料袋由買(mǎi)方提供.

  Packing: Goods must be stored in a plastic bag and then be put in an individual plastic crate.Plastic Crates, size 40 x 60 x 23cm. or other sizes approved by the Buyer.The plastic bags will be provided by the Buyer to guarantee the quality.Size 3-5 noses, 60 pcs in one crate,Size 2-3 noses, 90 pcs in one crate.

  7. 嘜頭:由買(mǎi)方指定,在周轉(zhuǎn)箱兩側(cè)用英文填寫(xiě), 具體如下: Shipping Marks: to be determined by the Buyer. At least two sides of the crates must be marked in English as follows:

  8. 保險(xiǎn):由買(mǎi)方投保 Insurance: to be arranged by the Buyer.

  賣(mài)方應(yīng)向買(mǎi)方提供如下單據(jù): The Seller shall present the following documents to the Buyer:

  a) 3份海運(yùn)提單加原件 On Board Bills of Lading in original plus 3 copies

  b) 4份商業(yè)發(fā)票Commercial Invoice in 4 copies

  c) 2份裝箱單Packing lists in 2 copies

  d) 1份產(chǎn)地證明原件Certificate of origin in original

  e) 1份植檢證明書(shū)原件Quarantine Certificate in original.

  10. 裝運(yùn)要求:Loading Requirment :

  裝運(yùn)前必須將裝好貨的周轉(zhuǎn)箱放在1*C的冷庫(kù)中冷卻,當(dāng)周轉(zhuǎn)箱中的溫度降為1*C時(shí),將貨物直接從冷庫(kù)中裝入集裝箱,

  Crates with peony roots must be pre-cooled at 1*C. When the temperature in the crates reaches 1* C, the plants can be loaded directly from the coldstorage into container. Plants should not be dried out and must be kept at a standard humidity level. Container temperature must be at 0*C.There should be inside each container 2 ryder cox-recorders (1 on the frontside halfway, 1 on the backside halfway.) Note: for 40"container there must be 3 ryder cox-recorders( front,middle,back).

  11. 裝運(yùn)通知: Loading Notification:

  每次貨物裝船后,賣(mài)方應(yīng)在五個(gè)工作日內(nèi)將合同號(hào)及第9條款中規(guī)定的所有文件以傳真通知買(mǎi)方。

  After each loading is completed, the Seller shall inform the Buyer, via fax within 5 working days after loading, the Contract No. and copies of all the documents under item 9.

  12. 付款條件: Payment Terms:

  13. 因人力不可抗拒事故,使賣(mài)方不可能在本合同規(guī)定期限內(nèi)交貨或不能交貨賣(mài)方不負(fù)責(zé)任,但賣(mài)方必須立即以傳真通知買(mǎi)方。如果買(mǎi)方提出要求,賣(mài)方應(yīng)用掛號(hào)函向買(mǎi)方提供由官方機(jī)構(gòu)出具的正式證明,證明事故的存在。一旦買(mǎi)方接受不可抗力之因素,賣(mài)方須在7個(gè)工作日內(nèi)將全部預(yù)付款返還買(mǎi)方。

  The Seller shall not be held responsible if it, owing to Force Majeure cause fails to make delivery within the time stipulated in the Contract or can not deliver the goods. However, in such cases, inform the Buyer immediately by fax, and if it is requested by the Buyer, the Seller shall also deliver to the Buyer by registered post,a certificate issued by the official authorities, certifying the existence of such cause or causes. As soon as such cause or causes has been accepted by the Buyer, the Seller must refund the prepayment in full to the Buyer within 7 working days from the acceptance date.

  14. 與合同或執(zhí)行合同有關(guān)的分岐雙方應(yīng)通過(guò)友好協(xié)商解決,如最終不能達(dá)成協(xié)議,應(yīng)提交北京中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易委員會(huì)促裁,根據(jù)中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)的仲裁程序進(jìn)行仲裁,仲裁裁決是終審裁決,對(duì)雙方都有約束力。

  All disputes arising in connection with this Sales Contract or the execution thereof shall be settled through friendly negotiation. In the event no settlement can be reached, the case should then be submitted for arbitration to Beijing China International Economic And Trade Arbitration Commission in accordance with the Procedure of Beijing China International Economic and Trade Arbitration Procedure of Beijing China International Economic and Trade ArbitrationCommission. The decision of the Commission shall be accepted as final and binding upon both parties for settling this dispute.

  15. 如果賣(mài)方未能按合同規(guī)定期限裝運(yùn)全部或部分貨物,除非有不可抗力因素或經(jīng)買(mǎi)方同意后對(duì)合同進(jìn)行了修改,買(mǎi)方有權(quán)取消在合同規(guī)定的裝運(yùn)期限到期后十天內(nèi)仍未裝運(yùn)的那部分的貨物。收到貨物后如發(fā)現(xiàn)在質(zhì)量、數(shù)量上有任何與合同不符之處,買(mǎi)方應(yīng)在五個(gè)工作日內(nèi)向賣(mài)方提出索賠要求并須附上清晰證據(jù)。

  In case the Seller fails to ship the whole lot or part of the goods within the time stipulated in this Contract, the Buyer shall reserve the right to cancel the part whichhas not been performed within the Contract 10 days following the expiry of the stipulated time of shipment, unless there exists a Force Majeure cause or the Contract terms have been modified with the Buyer's consent. In case of any discrepancy on the quality and/or quantity of the goods to be found by the Buyer after receipt of goods, the Buyer may, within 5 working days, lodge a claim with the Seller which should be supported by clear evidence.
